Hire-Purchase Agreement

This is the contract you enter into when you reserve a PC on a hire-purchase plan. It is made under the Hire-Purchase Act, 1966 and the laws of Tanzania. It should be read together with our Terms of Service and Privacy Policy. Each order you place on a plan creates a separate agreement; the specific price, deposit, term, service fee, and monthly installment are shown to you on the reservation screen and confirmed in your Wallet.

1. Parties

This agreement is between Ubepari PC Co LTD, a company incorporated in Tanzania with its head office at Magomeni Usalama, Dar es Salaam ("Ubepari", "we", the "Owner"), and you, the customer whose KYC details are on file (the "Hirer").

2. Definitions

"Goods" — the specific PC you have reserved, identified by model, serial number and order reference. "Cash Price" — the one-off price of the Goods if paid in full today, in TZS. "Deposit" — 20% of the Cash Price, paid at the time of reservation. "Financed Amount" — the Cash Price less the Deposit. "Service Fee" — a term-based fee on the Financed Amount: 0% for 3 months, 5% for 6 months, 8% for 9 months, 12% for 12 months. "Total Hire Price" — the Deposit plus the Financed Amount plus the Service Fee. "Monthly Installment" — the Financed Amount plus the Service Fee, divided by the number of months in the term, rounded up to the nearest 1,000 TZS. "Wallet" — your Ubepari Wallet account. "Default" — has the meaning given in section 11.

3. Structure of the plan

You pay the Deposit up front. On receipt of the Deposit we release the Goods to you (delivery or showroom pickup). You then pay the Monthly Installment once a month for the chosen term until the Total Hire Price is paid in full.

The exact numbers for your order — Cash Price, Deposit, Financed Amount, Service Fee, Monthly Installment, Total Hire Price, and due dates — are calculated live from the method published in our code repository (see src/lib/credit.ts) and shown on the reservation screen before you confirm. They are also recorded against your order in your Wallet.

4. Available terms

You may choose from the following terms at reservation:

• 3 months — 0% service fee • 6 months — 5% service fee • 9 months — 8% service fee • 12 months — 12% service fee

The Service Fee is applied to the Financed Amount (not the Cash Price). Monthly Installments are always rounded up to the nearest 1,000 TZS. A worked example is available on the product page.

5. Deposit

The Deposit is paid at reservation via M-Pesa, Tigo Pesa, Airtel Money, or card, routed through our payment aggregator (Evmark / iPAB). The order is only confirmed once the Deposit has been settled on our side.

If you cancel before pickup or delivery, the Deposit is fully refundable within 14 days, to the original payment method.

6. Delivery and pickup

Same-day pickup is available at our showroom in Magomeni Mapipa, Dar es Salaam. Delivery elsewhere in Dar es Salaam and upcountry is available by arrangement; a delivery charge may apply and will be quoted and agreed before dispatch.

You must present a valid ID (NIDA or passport) matching your KYC details at pickup. Risk in the Goods passes to you on delivery; ownership does not (see section 7).

7. Ownership and risk

Ubepari remains the legal owner of the Goods until the Total Hire Price has been paid in full, in line with the Hire-Purchase Act, 1966. Full ownership transfers to you automatically on payment of your last installment, without any further action by either party.

Risk of loss or damage passes to you on delivery. From that point you are responsible for protecting the Goods — for example, from theft, accidental damage, and liquid damage. You are strongly encouraged to arrange insurance. You must not sell, pledge, lease, or export the Goods before you own them.

8. Installments

Monthly Installments are due on the same day of the month as your delivery day (or, if that day does not exist in a given month, the last day of that month). Your repayment schedule is shown in the Orders section of your Wallet and you can pay ahead of schedule at any time.

You can pay installments manually from the Wallet, or top up the Wallet and let it apply automatically on the due date. We will send an SMS reminder 3 days before each due date.

9. Late fees

If a Monthly Installment is not paid by the due date, a late fee of 2% of the missed installment is charged once the installment is 7 or more days overdue. The late fee applies per overdue installment, not per day.

10. Early payoff

You may clear the outstanding balance at any time, in part or in full. There is no early-payoff penalty. If you pay the Total Hire Price in full before the end of the term, the Service Fee is already baked into the Total Hire Price and is not rebated — but you save on any future late-fee risk and own the Goods outright immediately.

11. Default

You are in default if any of the following happens:

• a Monthly Installment remains unpaid 30 days after its due date; • you provide materially false information during KYC; • you sell, pledge, lease, or export the Goods before ownership has transferred; • an insolvency procedure is opened against you.

Default gives us the rights in section 12, but only after we have sent you a written default notice (SMS, email, or letter) giving you 30 days to bring your account up to date.

12. Repossession and sale

If you do not cure the default within the 30-day notice period, we may repossess the Goods. Repossession is carried out in line with the Hire-Purchase Act, 1966 — in particular, no repossession without written notice, and you have the right to cure your default at any time up to repossession.

If we repossess and sell the Goods, we will credit the net sale proceeds (sale price less reasonable costs of repossession and sale) against the outstanding Total Hire Price and the amount of any Service Fee attributable to the unexpired portion of the term. Any surplus is paid to you; any shortfall remains owed by you.

At any stage you retain the right to pay off the outstanding balance in full and keep the Goods.

13. Warranty

The 12-month manufacturer warranty on the Goods is not affected by this agreement. Ubepari will help you coordinate warranty service throughout the term and after.

If the Goods are defective and must be replaced, the replacement Goods become subject to this same agreement as if delivered on the replacement date — installments continue on the original schedule.

14. Your duties

While you do not yet own the Goods, you agree to:

• take reasonable care of the Goods; • keep them at your normal place of residence or business in Tanzania, and tell us if that address changes; • not modify the Goods in a way that materially reduces their value; • tell us promptly if the Goods are lost, stolen, or seriously damaged; • keep your KYC details current; • keep at least one working payment method on file.

15. Amendments

This agreement cannot be changed verbally. Any amendment must be in writing and signed or electronically accepted by both parties.

16. Governing law

This agreement is governed by the laws of the United Republic of Tanzania, in particular the Hire-Purchase Act, 1966 and the Electronic Transactions Act, 2015. The courts of Tanzania, sitting in Dar es Salaam, have exclusive jurisdiction over any dispute arising under it.
